The proximate cause of the drop was a series of confusing statements from Musk, who tweeted that the deal was ātemporarily on holdā pending an investigation into the total number of bot accounts on the platform. Twitter had claimed in a filing that bots compose less than 5 percent of daily active users on the platform, although many believe the real figure is higher.
Musk later clarified that he was āstill committed to the acquisition,ā but uncertainty about the deal has proven difficult to dispel.

im not sure the board agrees to a lower price. one of the reasons they took the deal in the first place was because of the high premium on the initial offer.
im speculating here...but i think he wants to pull out of the deal and save face. or not pay that $1 billion cancellation fee.
jack (former twitter ceo) was one of the people advising elon to buy twitter and take it private. for sure he would have told elon the extent of their bot/fake account problem before now.

He made the offer an accepted the terms.

the overwhelming majority of those bots are on there to promote right wing misinfo and inflate their engagement to manipulate the algorithm...and elon musk both benefits from and is a big driver in that ecosystem.

I work in private equity. And in almost every deal I ever work on there is some attempt to retrade after some due diligence.
I am not saying he will complete the deal or not, I am just saying it's par for the course.

I thought this Twitter thread was very enlightening on his cons. I get a kick out of some in the financial community calling him Enron Musk and Phony Stark.
In 2015 I decided on a whim to check out Tesla's battery swap station that was earning the company 9 figures in California ZEV credits, and found it wasn't real. Instead Tesla was using diesel generators to charge cars. Here's how this changed my life š§µ
