im not sure the board agrees to a lower price. one of the reasons they took the deal in the first place was because of the high premium on the initial offer.
im speculating here...but i think he wants to pull out of the deal and save face. or not pay that $1 billion cancellation fee.
jack (former twitter ceo) was one of the people advising elon to buy twitter and take it private. for sure he would have told elon the extent of their bot/fake account problem before now.
