Snapchat is going public — Here's what we know

In documents filed with the SEC on Thursday, Snap Inc., parent company of Snapchat, filed to go public.

As previously reported, the company will list its shares on the New York Stock Exchange. Its proposed trading symbol is “SNAP.” The maximum proposed offer amount is $3 billion.

This filing does not give us a valuation for the company — which has been reported to be as high as $25 billion — as the exact number of shares being offered by the company is not available. This information will become clear closer to Snapchat’s actual market debut.

At the top of its filing, Snap identified itself not as a social media platform — as it is often described in the press — but as a camera company.

“We believe reinventing the camera represents our greatest opportunity to improve the way people live and communicate,” the company said in the filing.

In terms of the two numbers everyone was looking for — revenue and daily active users — Snap said that for the year ended December 31, 2016, revenue totaled $404.5 million while daily active users averaged 158 million.

Snap’s loss per share for the year ended December 31, 2016 was $0.53. Its cost of revenue was $451 million.

In outlining its business plan, Snap said it generates revenue primarily through advertising and emphasized its willingness to take risks to drive user engagement at numerous points throughout the filing.

As is the case with many Silicon Valley companies, Snap also said that it will have a dual-class share structure, and said that its Class A shares — which are not entitled to vote on matters submitted to shareholders — are the only ones being offered in its IPO. Class B shareholders have one vote per share and Class C shareholders have 10 votes per share.

In its filing, Snap said, “Although other U.S.-based companies have publicly traded classes of non-voting stock, to our knowledge, no other company has completed an initial public offering of non-voting stock on a U.S. stock exchange.

Adding, “We cannot predict whether this structure and the concentrated control it affords Spiegel and Murphy will result in a lower trading price or greater fluctuations in the trading price of our Class A common stock as compared to the trading price if the Class A common stock had voting rights. Nor can we predict whether this structure will result in adverse publicity or other adverse consequences.”

Among other risk factors listed by the company is the age of its core user base, which falls between 18-34 and which the company acknowledges, “may be less brand loyal and more likely to follow trends than other demographics.” In short, this user base, because of its age, is less sticky.

The company also outlined how engagement among younger users topped that of its older users, stating that, “users 25 and older visited Snapchat approximately 12 times and spent approximately 20 minutes on Snapchat every day on average in the quarter ended December 31, 2016, while users younger than 25 visited Snapchat over 20 times and spent over 30 minutes on Snapchat every day on average during the same period.”

Snap also acknowledged that while daily active users rose 7% in the third quarter, user growth was “relatively flat” in the latter part of this quarter.

I bought FB stock when the IPO first came out. Shit was around 20/share. Bought 10 shares. Ended up selling it about a year later, but damn, its at 130 now.

I had apple stock back in 2005-2006. wish I held on to that shit also. Fuck

even as a PC guy i knew then it would be a good stock to have. problem was i had no money! a couple years later they made iTunes and iPods, and now everyone is in the cult of apple. i finally did buy some stock at $94/share, a far cry from $4/share. i'm holding onto it for now.

i missed the twitter IPO. that turned out to be a blessing. i did finally buy some. it doubled at one point, but i held onto it. it's still worth more than i paid, but i dunno what the future holds. it could end up a loss as it drags further into worthlessness territory. i have a cousin who used to work for twitter and still has friends there, and they are not happy.

snap seems similar. i've never used the app and have no idea how they make money or plan to (the augmented reality filtering seems cool, teens recording themselves driving at high speeds not so much). i do know it's popular. that seems to be all it takes nowadays for these stocks, at least for awhile.

While it's more ad friendly than Twitter (shieet, even for the users the way Khaled shamelessly sells stuff) not sure on the long term business model. That 'We are a camera company' is interesting though..

The price means nothing. It could be $5 or it could just as easily be $5000. Doesn't matter

What matters is the valuation implied by the price.

Snapchat says it has big plans for its buzzy "Spectacles" camera-glasses.

Snap Inc., the company behind the popular ephemeral messaging app, filed to go public on Thursday — and the documents have given us a wealth of information about the inner workings of the famously secretive company.

We now know that it generates $400 million (£320 million) in annual revenue and growth is slowing, for example; or that the company paid its third cofounder $158 million (£126 million) to disappear; or that it has a deal with Google to pay Google at least $400 million (£320 million) a year for the next five years.

The company plans to raise $3 billion (£2.4 billion) through the IPO, at a valuation of as much as $25 billion (£20 billion) — and the associated filings indicate that Snap plans to "significantly" broaden sales of its wearable tech Spectacles. They're (pricey) sunglasses that have a built-in camera that captures circular video and sends it straight to the Snapchat app.

Spectacles' unusual approach has paid off
Spectacles were first launched in September 2016 with an unconventional and exclusive distribution strategy. Rather than giving out devices to reviewers and doing a mass consumer rollout — the normal approach for new tech products — it has sold them exclusively through pop-up vending machines.

It has been a clear success. The devices have generated significant hype, briefly selling second-hand for absurdly high prices on sites like Ebay as people rushed to get their hands on them, and they have avoided the nerdy, awful reputation that befell Google Glass — Google's ill-fated attempt to build a head-mounted computer in 2013.

They're still not available to buy normally — but that could soon change. "In 2017, we expect to continue to make substantial investments in inventory, marketing, distribution, and product innovation as we assess product demand," Snap wrote in its S-1 form. "Additionally, we plan to significantly broaden the distribution of Spectacles, which will increase our costs and overall financial risk."

In other words: It's doubling down on Spectacles, will make them easier to buy, and is thinking about how it can improve on them.

But the smart-glasses aren't a money-spinner for Snap just yet. Despite selling for $130 (£104) —if you can get your hands on them — it says that it reckons the costs of making and selling them will outweigh the cash brought in from the sales, and this won't change any time soon. "We expect to experience production and operating costs related to Spectacles that will exceed the related revenue in the near future."

The glasses play into an ambitious vision for the future of the company
Spectacles were announced at the same time as Snap rebranded itself from its original name, Snapchat, and started calling itself a "camera company."

Snapchat is clearly interested in augmented reality — the overlaying of virtual objects in the real world — and has been publicly experimenting with the tech with its playful "lenses" that modify the user's appearance. But more powerful augmented reality — like the kind used in Microsoft's HoloLens headset, and dreamed up in science fiction — requires dedicated headmounted hardware.

Spectacles might be simple right now, but they're an important first step towards this.

I guess I base my methodology on the findings that its better to have a reasrch-then-set-and-forget approach to investing - which is something that is more related to ETFs

I buy and hold.

i can't remember who wrote the article but the breakdown was that snapcaht is not a social media company or even a camera company but rather a new venue for communication

while non users will look at active users as narcissist the truth is that they are actually communicating through a new medium

That alone makes it interesting enough to pay attention to.

How they will continue to monetize this outside of advertisements and glasses, I'm not exactly sure of, but I will say that I've been impressed with management and how they went from a bunch of people who turned down a payout of the century to increasing the value of the company to an unimagined level.

If you bought it a $38 on the IPO day, you lost...big time.
You paid $38 for something you could have gotten for $31 a couple of days later.

When you are evaluating stocks, it doesn't matter if the company is good or not. All that matters is the price.
It is easy to sit here 5 years later talking about "man I knew I should have bought into fb"
That is true. But not in the IPO

My coworker uses it to send pics, he side hustles as a wedding photographer and he is also starting his own skateboard deck biz.

It's a product the 18 to 35 year olds use and that's a marketing demo sweet spot

It could be a great company with amazing products and amazing growth potential. All that doesn't mean shit if it is overpriced.
If you value the company at $25 billion right today and they price the stock as if the company is worth $50 billion, you still buying because it's a good company?

At the CORE. Balance Sheets and Debt are not the deciding factors. The Market is all about Psychology. Sure you can run some numbers, but if the Steet ain't feeling you it doesn't matter. A Company can BE SOLID on paper, but let a bad report of any kind come out and a company can DROP like crazy.

Price is supposed to represent the true fundamental value of the company. It is an estimate today about how much cash flow they will generate from now until the end of time.
As news comes out, people will change their forecasts about the future and the price will change.
Psychology and human behavior definitely play a part, but the price really means something on a fundamental level.

Now on to IPOs. IPOs for the most part are geared to benefit institutional investors (big banks, hedge funds, etc.) and preferred clients (wealthy individuals).
Who do you think gets a first crack at the hot of the presses IPO shares? Do you think it is you and your mama? No. It is Richie Rich who already has $1 billion invested with Goldman Sachs and they are trying to keep his business. How do they keep his business? Give him underpriced IPO shares.

By the time retail investors get a crack at the IPO shares, it is already to late. They are now overpriced. Retail investors are not paying the IPO offer price.

If you look at the data, on average IPOs tend to drastically underperform relative to peer companies. You have some outliers here and there, so you can hope to catch a winning lottery ticket. But for the most part, retail investors lose

Case, cares about the price. I have a threshold that I'm willing to pay per share. I'm not a Cowboy. So, no one is caught up in the frenzy or hype, but I just see the possibility for a financial increase and the ability to investment in an opportunity that i feel will be fenefical. So, RISK is involved when dealing with the the Stock Market or any kind of financial investment.

It gives you some metrics and facts to both support and undermine their IPO valuation but it really doesn't say that it's a fair price.

Pro's
One of the most popular apps on the internet
One of the most popular amongst a lucrative demographic (18-25 yr olds)
Still has room to grow in terms of use

Con's
Their demographic is fickle.
They're priced richly when compared to some companies that have appreciated since their IPO (FB) and others than have done poorly (Twitter).

All of these points leave me skeptical on this "money train":

- Their claim to fame (disappearing messages) turned out to be an exaggeration (or fraud) and has now been copied by Instagram (which has Facebook financially backing them).

- The product they've been developing for awhile (Spectacles) is a derivate of Google Glass. Even if they can overcome the dork-factor that Google struggled with, Google can very quickly and easily reposition their product and severely limit the potential for Spectacles.

- They also copied Google's business model by creating an umbrella company so they can put their different efforts into silos. I think it implies more of a vision for the future of the company than the owners really have.

- Like mentioned before, their demographic is fickle. Young people will eventually leave them like they are leaving Facebook... but I doubt their popularity translates up the age range like Facebook has.

Anyway, I think the IPO price is likely too high and the stock will be on-sale shortly after the IPO. At a reduced price, they might be worth some speculation bc I think they'll be around for several years but I think their long term potential is limited.

Hold on to some of the stock you bought if you feel comfortable.

If it's worth it, you have some very valuable stock that you can hold on to and increase value.

If it's not, you've made your money back at the very least (if you didn't make a profit already) by selling your initial shares within the price frenzy/fluctuation of the 1st week or 2

Missing monthly active user figures are key to determining if app will continue registering new users, some technology investors say

There is at least one metric missing in Snap Inc.’s 230-plus page registration statement for its initial public offering, leaving some investors concerned about how best to assess user engagement.

The company provides figures for daily active users for its photo-based Snapchat messaging service. However, the filing doesn't include monthly active user figures, which some technology investors say are key to determining whether the app is likely to continue registering new users.

The omission of these figures raises a warning flag for some investors. “It’s giving a lot of cause for caution,” said Lou Kerner, a partner at San Francisco-based venture-capital firm Flight VC.

The lack of such disclosure may mean Snap’s engagement figures aren't as great as they appear at first glance, he said. “When they give you the data, it’s telling a good story,” Mr. Kerner said. “When they don’t give you the data, it’s a bad story.”

Snapchat had 158 million daily active users, on average, as of the quarter ending Dec. 31, 2016, up 48% from the same period a year ago, according to the S-1 statement.

According to Mr. Kerner and others, a more useful measure can be arrived at by dividing the number of daily active users by monthly active users to get a better sense of how closely tethered customers are to the service. The higher the number, the better because it shows that more frequent and engaged customers are making up a greater portion of a company’s user base. And over time, that ratio would give investors a sense of Snapchat’s trajectory.

Yet investors don’t rely solely on those metrics when making investment decisions and will always ask for additional data, said Kevin Landis, chief executive of the Firsthand Technology Value Fund Inc.

“The more transparency you give them the more the more they want,” said Mr. Landis, whose fund bought stakes in both Facebook Inc. and Twitter Inc. before their IPOs.

Snap didn't return requests for comment. “We assess the health of our business by measuring Daily Active Users because we believe that this metric is the most reliable way to understand engagement on our platform,” the company states in its filing. “It helps us understand if people are continuing to invest their time, energy, and creativity in our products.”

Snap’s selective disclosure makes it difficult to compare to other social media companies, said Kathleen Smith, co-founder of Renaissance Capital LLC, a manager of exchange-traded funds focused on new issues. “How are we sure we’re comparing apples with apples?”

Renaissance points out that at the time of their IPOs some of those comparable numbers were more positive for rivals than for Snap: Quarterly user growth was 7% at Twitter and 6% at Facebook right before their IPOs, versus 3% now for Snap.

Mr. Kerner said that in 2010, well before Facebook’s 2012 IPO, he looked at its ratio of daily to monthly active users, and saw an upward trajectory. He figured it would command about 12% of internet advertising revenue by 2014. Facebook’s IPO was priced at $38 a share. They closed Tuesday at $131.84.

And, in 2013, Mr. Kerner used a similar metric incorporating monthly active users in assessing Twitter, deciding that engagement with its users had peaked and was deteriorating. Twitter shares were priced at $26 at its IPO and closed Tuesday at $18.26.

Facebook and Twitter didn't respond to emails seeking comment.

roulette's definitely a good way to put it. options are the quickest way to lose your money. i've blown up an account fucking around trading weekly options... mostly puts. being a bear hasn't paid off much except for the quick flush after brexit for a couple days. and i missed the summer correction in '15 to early '16, unfortunately.

bears got their faces ripped off too post-election.

the two attributes in an options chain i look at are 'delta' (how much the price of the option moves relative to every $1 move in the underlying asset) and 'theta' (how much the option decays with each day). which is why i prefer paying more premium for monthly options that give me more time (3-4 months).

there's plenty of resources out there on options education outlining this and much more. just stay away from the "trading guru's"/people selling subscriptions that tell you when to buy/sell.

FYI i've heard most options are never exercised. everyone's in it to trade the premium.

FB's basically copying all of SNAP's features.

i guess keep an eye on their Q2 earnings release on 8/10 tho. spiegel and his fellow douches can't cop pleas this time around for any huge losses, like they could with that $2B hit for taking the company public in Q1. but even sans that, they'd still doubled their losses from the previous quarter.

they gonna need to grow that daily active user count to stay alive.
